By working with Jazz Media Group or using this website, you agree to these terms. Our engagements are based on mutual respect, clear scope, and honest communication. We protect our work product and client confidentiality. Disputes are resolved under the laws of North Carolina.

Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the Jazz Media Group website and the professional services provided by Jazz Media Group ("Jazz Media," "we," "our," or "us"). By accessing our website, submitting an inquiry, signing a service agreement, or engaging our services in any capacity, you ("Client," "you," or "your") agree to be bound by these Terms.

If you do not agree to these Terms, please do not use our website or engage our services. These Terms apply to all visitors, prospects, and clients.

For active client engagements, these Terms operate alongside any signed Service Agreement or Statement of Work. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls.

Services Provided

Jazz Media Group provides strategic brand services to founder-led businesses, including but not limited to:

Brand strategy development, positioning, and narrative clarification

Visual identity design, creative direction, and brand system development

Content strategy, video production, photography, and editorial content

Marketing systems design, campaign strategy, and ongoing advisory

Website strategy and design oversight (including Webflow development)

Long-term strategic retainer partnerships

The specific scope of services for any client engagement is defined in a separate Service Agreement or Statement of Work executed between Jazz Media Group and the Client prior to commencement of work.

Engagement & Scope

All client engagements begin with a discovery call and, if mutually agreed, are formalized through a written Service Agreement outlining the scope of work, deliverables, timeline, and fees. Work does not commence until a Service Agreement is signed and any required deposit is received.

Jazz Media Group reserves the right to decline any prospective engagement at its sole discretion, including but not limited to situations where there is insufficient strategic fit, capacity constraints, or where the engagement conflicts with existing client relationships.

Scope changes: Any work outside the agreed scope must be formally requested and approved in writing by both parties. Out-of-scope work will be quoted separately before execution begins. Verbal approvals do not constitute authorization for scope expansion.

Jazz Media Group operates with a curated team model. Where specialist contractors (photographers, videographers, designers) are engaged on your behalf, Jazz Media Group maintains oversight and remains the primary point of contact.

Payment Terms

Payment terms for each engagement are specified in the applicable Service Agreement. The following general terms apply unless otherwise stated in writing:

Deposit:

A deposit (typically 50% of the project total, or as specified) is required before work begins. Deposits are non-refundable once work has commenced.

Retainer payments:

Monthly retainer fees are invoiced at the beginning of each billing period and are due within 5 business days of invoice date.

Project milestones:

For project-based engagements, remaining balances are invoiced per milestone or upon project completion as defined in the Service Agreement.

Late payments:

Invoices not paid within 10 business days of their due date may incur a late fee of 1.5% per month on the outstanding balance. Jazz Media Group reserves the right to pause work on an engagement until outstanding invoices are resolved.

Disputed invoices:

Invoice disputes must be raised in writing within 5 business days of receipt. Undisputed portions of an invoice remain due by the original due date.

All fees are quoted in US Dollars. Jazz Media Group does not offer refunds on work already delivered or time already invested, including strategy sessions, consulting, and completed deliverables.

Intellectual Property

Client-owned materials: Any materials, assets, brand elements, or content provided by the Client remain the sole property of the Client.

Work product ownership: Upon receipt of full payment for an engagement, Jazz Media Group transfers ownership of the final, approved deliverables to the Client, as specified in the applicable Service Agreement. This transfer applies to final files only — not to working files, process documents, strategic frameworks, research materials, or proprietary methodology.

Jazz Media intellectual property: All proprietary frameworks, methodologies, processes, templates, and strategic tools developed by Jazz Media Group remain the exclusive property of Jazz Media Group. The Client receives a license to use applied outputs — not the underlying frameworks themselves.

Portfolio rights: Jazz Media Group retains the right to display completed work in its portfolio, on its website, and in case studies or marketing materials, unless the Client requests otherwise in writing prior to project completion. Client-sensitive financial data or proprietary business information will not be disclosed.

Third-party assets: If the Client requires licensed photography, fonts, stock footage, or other third-party assets, the cost and licensing terms are the Client's responsibility unless otherwise agreed in the Service Agreement.

Confidentiality

Jazz Media Group treats all client information — including business strategy, financials, client relationships, and internal operations — as confidential. We will not disclose confidential client information to third parties without written consent, except as required by law or as necessary to engage authorized subcontractors bound by equivalent confidentiality obligations.

Clients agree to treat any proprietary Jazz Media Group frameworks, pricing structures, or strategic processes shared during an engagement as confidential and not to share them with third parties or competing firms.

This mutual confidentiality obligation survives termination of the engagement for a period of three (3) years.

Client Responsibilities

Successful brand strategy engagements require active participation from the Client. By engaging Jazz Media Group, the Client agrees to:

Provide timely, accurate, and complete information necessary for Jazz Media Group to perform its services

Make a designated decision-maker available for scheduled meetings, reviews, and approvals

Provide feedback on deliverables within the timeframes specified in the Service Agreement

Notify Jazz Media Group promptly of any material changes to business direction, goals, or constraints that may affect the engagement

Ensure that all materials provided to Jazz Media Group do not infringe on any third-party intellectual property rights

Delays caused by the Client — including delayed approvals, late feedback, or failure to provide necessary materials — may result in revised timelines at Jazz Media Group's discretion. Jazz Media Group is not responsible for missed deadlines or outcomes resulting from Client delays.

Results & Representations

Jazz Media Group provides brand strategy, creative, and marketing services based on professional expertise and proven methodology. We do not guarantee specific business outcomes, revenue results, lead generation numbers, social media growth figures, or search engine rankings.

Brand strategy outcomes — including improved positioning, narrative clarity, visual identity cohesion, and market perception — are the direct responsibility and deliverable of Jazz Media Group. Revenue outcomes are dependent on a wide range of factors outside our control, including market conditions, the Client's sales process, product quality, pricing, and the decisions of the Client and their customers.

Any case studies, results, or examples shared on our website or in proposals reflect past client work and are not a guarantee of future results.

Limitation of Liability

To the maximum extent permitted by applicable law, Jazz Media Group's total liability to the Client for any claim arising from or related to an engagement shall not exceed the total fees paid by the Client to Jazz Media Group in the three (3) months immediately preceding the claim.

Jazz Media Group shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, loss of business opportunity, loss of data, or reputational harm, whether based in contract, tort, or any other legal theory, even if advised of the possibility of such damages.

Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.

Termination

Either party may terminate an engagement as specified in the applicable Service Agreement. The following general terms apply unless otherwise stated:

Client-initiated termination:

Clients may terminate a retainer engagement with 30 days' written notice. Project-based engagements may be terminated by the Client upon written notice; fees for all work completed and in-progress at the time of termination are due and payable.

Jazz Media Group-initiated termination:

Jazz Media Group reserves the right to terminate an engagement with 14 days' written notice if the Client materially breaches these Terms or the Service Agreement, fails to make required payments, or engages in conduct that Jazz Media Group reasonably determines to be harmful to its business or reputation.

Effect of termination:

Upon termination, the Client will pay for all work completed through the termination date. Jazz Media Group will deliver all completed and in-progress work product in its current state. Ownership of delivered work transfers to the Client upon receipt of all outstanding payments.

Sections covering Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law survive termination of any engagement.

The Jazz Media Group website is provided for informational purposes. You agree not to use our website to:

Reproduce, copy, or distribute our content without written permission

Attempt to gain unauthorized access to any part of our systems or infrastructure

Submit false, misleading, or fraudulent information through any form

Use automated tools to scrape, crawl, or harvest content from our website

Engage in any activity that disrupts or interferes with the normal operation of our website

All content on this website — including copy, visuals, case studies, frameworks, and design — is the intellectual property of Jazz Media Group and may not be reproduced without written consent.

Governing Law & Disputes

These Terms and any disputes arising from or related to Jazz Media Group services shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

In the event of a dispute, the parties agree to first attempt resolution through good-faith negotiation. If negotiation does not resolve the dispute within 30 days, either party may pursue mediation before initiating any legal proceedings. Legal action, if pursued, shall be filed in the appropriate courts of Guilford County or Rockingham County, North Carolina.

Nothing in this section prevents either party from seeking emergency injunctive relief where necessary to prevent irreparable harm.

Changes to These Terms

Jazz Media Group may update these Terms from time to time. When changes are made, we will update the "Last updated" date at the top of this page. For active clients, material changes will be communicated by email with reasonable notice.

Your continued use of our website or engagement with our services following any changes constitutes acceptance of the revised Terms. If you do not agree to updated Terms, you should discontinue use of our website and notify us to discuss the impact on any active engagement.
